Terms of Use - Spiky

These terms govern the use of the Spiky mobile app, published by Chouic SAS (12 rue Racine, 44000 Nantes, France, RCS Nantes 813 825 395) and available on the App Store and Google Play. They form an agreement between you and Chouic SAS.
By installing or using Spiky, you accept them. If you do not accept them, do not use the app.
Subscription
In Spiky, you can subscribe to access Premium features and content (sometimes called "VIP" in the app).
The current offer is a weekly subscription with a 3-day free trial. Other plans (length, trial period, price) may be offered or tested. The subscription length, its price in your currency and the length of any free trial are always displayed in the app before you buy.
Prices and promotions
All prices may change without prior notice. We reserve the right to run temporary promotions and, as a result, to change subscription prices. Because these offers are temporary, we are unable to refund purchases made before a promotion.
Billing
Payment is charged to your App Store or Google Play account upon confirmation of purchase. If the offer includes a free trial, the first payment is taken at the end of the trial.
The subscription renews automatically unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period, at the price of the selected plan.
Manage or cancel your subscription
You can manage your subscription and turn off auto-renewal at any time, after purchase, in your Apple or Google Play account settings. For more information, visit Apple Support or Google Play Help.
Cancellation takes effect at the end of the current period: a subscription period that has already started cannot be cancelled.
You may cancel a subscription during the free trial period through the subscription settings of your Apple or Google Play account. To avoid being charged, this must be done at least 24 hours before the end of the trial.
Any unused portion of a free trial period will not be refunded if you subscribe before the end of that period.
Restore your purchases
Your subscription is tied to your Apple or Google Play account. If you change device or reinstall Spiky, use the restore purchases button on the subscription screen to get it back.
Refunds
Payments are collected by Apple or Google. Refund requests are therefore handled by Apple or Google, under their own rules; Chouic cannot process them directly.
App availability
Chouic SAS shall assume no liability towards its customers or users if the application (including any later versions) is no longer accessible or downloadable on the available download platforms (App Store, Google Play, etc.).
License
Chouic grants you a personal, non-commercial, non-exclusive, non-transferable and revocable license to install and use Spiky on your devices, in accordance with these terms. Spiky is not sold to you: the app remains the property of Chouic SAS.
App content
The challenges, texts, illustrations, animations, sounds, the Spiky brand and all other elements of the app are protected by intellectual property law and belong to Chouic SAS or its partners. You may use them to play, and for nothing else.
Your custom challenges
You can create your own challenges in the app. You alone are responsible for them: they must comply with the law and respect the people you play with. These challenges stay private: they are never published or shared with other players, and Chouic does not moderate them. You can edit or delete them at any time.
Prohibited uses
The following is prohibited, among other things:
- bypassing purchases or the subscription, or accessing Premium content without having obtained it through the app;
- extracting, copying, reproducing, distributing or reselling the app's content, in whole or in part;
- decompiling or modifying the app, or creating derivative works from it, except where the law allows it;
- disrupting the operation of the app or our servers;
- using the app for unlawful purposes or to harm others.
In case of breach, Chouic may suspend or withdraw your access to the app.
Liability
Spiky is a game: you choose the players, the packs and the challenges you carry out, and you can skip a challenge at any time.
To the extent permitted by law, Chouic SAS is not liable for indirect damages related to the use of Spiky, nor for interruptions or malfunctions of the app or of the third-party services it depends on. Nothing in these terms limits the rights the law grants you as a consumer, nor Chouic's liability in case of fraud or gross negligence.
Personal data
How your data is processed is described in the Spiky privacy policy.
Changes to these terms
Chouic may change these terms, in particular to reflect changes in the app, the offers or regulations. The current version is published on this page, with its update date. By continuing to use Spiky after a change, you accept the changed terms.
Terms specific to Apple's App Store
If you downloaded Spiky from the App Store, the following terms also apply:
- Parties to the agreement. These terms are concluded between you and Chouic SAS, not with Apple. Chouic, not Apple, is solely responsible for Spiky and its content. These terms do not conflict with the App Store Terms of Service (Apple Media Services), which also apply.
- Scope of license. The license granted is limited to a non-transferable license to use Spiky on Apple devices that you own or control, as permitted by the Usage Rules set out in the App Store Terms of Service, including access by accounts associated with yours through Family Sharing or volume purchasing.
- Maintenance and support. Chouic is solely responsible for maintaining and supporting Spiky. Apple has no obligation whatsoever to provide maintenance or support.
- Warranty. Chouic is solely responsible for any warranties applicable to Spiky. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the extent permitted by law, Apple has no other warranty obligation; any other claim, loss or expense arising from a failure to conform to a warranty is Chouic's sole responsibility.
- Claims. Chouic, not Apple, is responsible for addressing any claim by you or a third party relating to Spiky or its use, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection or privacy law.
- Intellectual property. If a third party claims that Spiky or your use of it infringes its intellectual property rights, Chouic, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.
- Legal compliance. You represent that you are not located in a country subject to a United States Government embargo or designated by the United States Government as a "terrorist supporting" country, and that you are not listed on any United States Government list of prohibited or restricted parties.
- Contact details. For any question, complaint or claim about Spiky: Chouic SAS, 12 rue Racine, 44000 Nantes, France, or our contact form.
- Third-party terms. You must comply with applicable third-party terms when using Spiky, for example those of your carrier or of the Google and Apple sign-in services.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these terms. By accepting them, you acknowledge that Apple has the right, and is deemed to have accepted the right, to enforce them against you as a third-party beneficiary.
Governing law and disputes
These terms are governed by French law. In case of a dispute, write to us first through our contact form to seek an amicable solution. Failing that, the French courts have jurisdiction. If you live in another country, these provisions do not deprive you of the mandatory protective rules of your country of residence.
